Chengdu Cross-border E-commerce Association (English name: Chengdu Cross-border E-commerce Association) officially applied for registration on January 4, 2017. It is composed of Chengdu cross-border e-commerce platforms, traditional trade enterprises, and service providers. It is a non-profit social organization with independent legal status approved and registered by Chengdu Municipal Civil Affairs Bureau with the approval of Chengdu Municipal Commission of Commerce. The association is subject to the supervision and management of the registration and management authority, Chengdu Municipal Bureau of Civil Affairs, and the business guidance of the business supervisory unit, Chengdu Municipal Commission of Commerce. Background of the Association Under the important deployment of the national "Belt and Road" and "Internet +" strategies, Chengdu, as an important strategic fulcrum on the "Silk Road" and a national e-commerce demonstration city, has been vigorously developing cross-border e-commerce in recent years. On January 12, 2016, Chengdu was officially approved as a national cross-border e-commerce comprehensive pilot zone, marking that Chengdu's cross-border e-commerce has entered a new historical stage. In the new historical stage, it will face new opportunities and challenges. At present, although the entire cross-border e-commerce market is booming, the overall environment is still immature, and the order and rules need to be further standardized. Therefore, promoting the healthy development of cross-border e-commerce requires concerted efforts from the government and all industries upstream and downstream of the industrial chain. To this end, we hope to attract representatives from all fields of Chengdu's cross-border e-commerce to participate by establishing the "Chengdu Cross-border E-commerce Association", serve all aspects of Chengdu's cross-border e-commerce development, jointly explore Chengdu's cross-border e-commerce innovative development path, and solve the bottlenecks encountered in the development of Chengdu's cross-border e-commerce. We will speak for Chengdu's cross-border e-commerce industry and serve the better and faster development of Chengdu's cross-border e-commerce industry. Association Purpose The Association shall abide by the Constitution, laws and regulations of the People's Republic of China, implement relevant national policies and guidelines, observe social ethical norms, and safeguard the legitimate rights and interests of the Association's member units. Under the guidance of the government departments in charge, in line with the concept of "openness, innovation and development", we will promote the integration and innovation of Chengdu's cross-border trade, guide Chengdu's traditional trade enterprises to "go global", enhance the international competitiveness of "Made in Chengdu" and "Chengdu Brand", serve all areas of Chengdu's cross-border e-commerce, and promote the in-depth development of Chengdu's cross-border e-commerce. Association business scope (I) In accordance with the government's overall requirements and development goals for promoting cross-border e-commerce, research and explore the development trend of Chengdu's cross-border e-commerce, assist and cooperate with Chengdu's cross-border e-commerce industry mechanism innovation, and provide government departments with policy opinions and suggestions on the development of the cross-border e-commerce industry. (II) Establish a Chengdu "cross-border e-commerce" expert database, conduct research on promotion strategies and demonstration application standards for cross-border e-commerce projects, assist government departments in implementing cross-border e-commerce industry development plans and relevant laws and regulations, accelerate the improvement of the overall quality, economic and social benefits of the cross-border e-commerce industry, and guide the healthy and scientific development of the industry. (III) Organize experts to provide consulting services in cross-border e-commerce and related fields, carry out information technology and cross-border e-commerce talent training, continuously improve the quality of enterprises, and promote the spiritual civilization construction of the industry. (IV) Actively introduce a national cross-border e-commerce technical service platform, hold cross-border e-commerce related conferences, exhibitions, and activities, and organize exchanges and study tours with domestic and foreign counterparts. (V) Conduct cross-border e-commerce research, and compile "Chengdu Cross-border E-commerce Quarterly and Annual Development Reports" based on the goals and progress of each stage of Chengdu's cross-border e-commerce development, so as to provide reference for government departments to timely grasp the development trends of the industry and introduce relevant policies. (6) Undertake work items authorized by government departments at all levels, special projects commissioned by enterprises and other institutions and groups, etc. (VII) To undertake matters entrusted by government departments, social groups and member units, and to commend and reward outstanding member enterprises in the cross-border e-commerce industry. (8) Carry out other activities and public welfare undertakings that are beneficial to the cross-border e-commerce industry in accordance with the development needs of the industry. The English name of this association is Chengdu Cross-Border E-commerce Association and the abbreviation is: CDCEA. Article 2 This association is composed of Chengdu's cross-border e-commerce platforms, traditional trading companies, and service providers. It is approved by the Chengdu Municipal Commission of Commerce and registered by the Chengdu Municipal Civil Affairs Bureau. It is a non-profit joint social group organization with independent legal status. Article 3 The Association adheres to the overall leadership of the Communist Party of China. In accordance with the provisions of the Constitution of the Communist Party of China, the Party Branch of Chengdu Cross-border E-commerce Association of the Communist Party of China is established to carry out party activities and provide necessary conditions for the activities of party organizations. Article 4 The purpose of this association is to abide by the Constitution, laws and regulations of the People's Republic of China, implement relevant national policies and guidelines, abide by social ethics, and safeguard the legitimate rights and interests of the association's member units. Chapter 3 Membership Article 8 The membership type of this association is corporate membership. Article 9 To apply for membership in the Association, the following conditions must be met: 1. To uphold the Association's Charter; (2) Having the intention to join the Association; (3) Having a certain influence within the Association’s business area. Article 10 The procedure for membership is: 1. Submit an application for membership; (2) After discussion and approval by the Board of Directors; (3) The membership card shall be issued by the Board of Directors or an institution authorized by the Board of Directors; (IV) Member units applying for director and above positions shall have their qualifications reviewed by the Secretariat and approved by the Board of Directors. Article 11 Anyone who has any of the following circumstances shall be prohibited from becoming a member or holding an association position (1) Having no capacity for civil conduct or having limited capacity for civil conduct; (2) Those who are currently serving a criminal penalty or are currently being subject to criminal compulsory measures; (3) Being wanted by public security organs or state security organs; (4) If the registration of a non-governmental organization was revoked while the person was the principal person in charge, and the period has not exceeded three years since the date when the registration of the organization was revoked; (5) Served as the head of an illegal non-governmental organization or participated in an illegal non-governmental organization as a key member, and the period of service has not exceeded 5 years from the date when the organization was banned. (6) Non-Chinese citizens; (VII) Other circumstances prescribed by laws, regulations and policies. Article 12 Members enjoy the following rights (1) To enjoy the right to elect, be elected and vote in the Association; (2) Participate in various activities organized by the Association; (3) Priority in obtaining the services of the Association; (4) The right to criticize, make suggestions and supervise the work of the Association; (V) Membership is voluntary and withdrawal is free. Article 13 Members shall fulfill the following obligations (1) Comply with the Association’s Articles of Association; (2) To implement the resolutions of the Association; (3) To safeguard the legitimate rights and interests of the Association; (IV) Actively complete the tasks assigned by the Association; (5) Pay membership dues in accordance with regulations; (6) Be concerned about the work of the Association, actively reflect situations and provide relevant information. Article 14 Members who wish to withdraw from the association shall notify the association in writing and return their membership cards. If a member does not pay dues or participate in group activities for one year, he or she will be deemed to have automatically withdrawn from the association. Article 15 If a member seriously violates the Constitution, he/she shall be expelled upon approval by the Board of Directors or the Standing Board of Directors. Article 16 The Association shall establish a complete membership roster and member integrity files, and make timely adjustments based on changes. Chapter 4: Formation and Removal of Organizational Structures and Persons in Charge Article 17 The highest authority of the Association is the Members’ Congress, which has the following powers: (1) Formulate and amend the charter; (2) To elect and remove directors, supervisors, and the president, chief supervisor, and vice presidents, and to approve the appointment and removal of the secretary general and heads of other executive bodies, branches, and representative offices; (3) Review the work report, financial report and report of the Board of Directors; (4) Decide on termination matters; (5) Decide on other important matters. Article 18 The Member Representative Conference shall be held once a year. It can only be held if more than 2/3 of the member representatives are present. Its resolutions shall take effect only if they are passed by more than half of the member representatives present. The election form of this association shall be equal election and secret ballot. Article 19 The term of office of each Member Representative Assembly is 5 years. If it needs to be held earlier or later due to special circumstances, it must be voted on by the Board of Directors and approved by the registration management authority after review by the business supervisory unit. However, the longest extension of the term of office shall not exceed 1 year. Article 20 The Association shall have a Board of Directors, which shall be elected by the Members’ Congress. The Board of Directors shall be the executive body of the Members’ Congress, leading the Association in its daily work during the adjournment period and shall be responsible to the Members’ Congress. The number of members in the Board of Directors shall not exceed 1/3 of the total number of members. Article 21 The powers of the Council are: 1. To implement the resolutions of the Members’ Congress; (ii) To elect and remove the President and Vice-Presidents, and to approve the appointment or removal of the Secretary-General and heads of other executive (branch, representative) agencies; (3) To prepare for the convening of the Members’ Representative Conference; (4) Report work and financial status to the Members’ Congress; (5) Decide on the admission or expulsion of members; (6) Decide on the establishment of offices, branches, representative offices and physical institutions; (VII) Decide on the appointment of the Deputy Secretary-General and the principal persons in charge of various institutions; (8) Lead the work of the various agencies of the Association; (IX) Formulate internal management systems; (10) Decide on other important matters. Article 22 The Board of Directors can only be convened if more than 2/3 of the directors are present, and its resolutions can only be valid if they are passed by more than 2/3 of the directors present. Article 23 The Board of Directors shall hold at least two meetings each year. In special circumstances, an interim meeting of the Board of Directors may also be convened. The President shall be responsible for convening and presiding over the meeting. If the President cannot convene the meeting, the Secretary-General may be elected to preside over the meeting. The President or the convener shall notify all the directors five days in advance. Article 24 The term of office of each board of directors is five years. If a director is unable to perform his duties during his term of office or needs to be replaced due to job transfer or other reasons, the unit where he is located shall propose new candidates for directors and report them to the secretariat for filing and confirmation. Article 25 The president, chief supervisor, vice president and secretary general of the association must meet the following conditions: (1) Adhere to the Party’s line, principles, policies and have good political qualities; (2) Having a significant influence in the group's business area; (3) The maximum age for the president, chief supervisor, vice president and secretary general shall not exceed 70 years old, and the secretary general shall be a full-time employee; (4) Being in good health and able to maintain normal work; (5) Having not been subjected to criminal punishment of deprivation of political rights; (6) Having full capacity for civil conduct. Article 26 If the president, chairman of the board of supervisors, vice presidents, secretary general and other executive (branch, representative) agency heads (Note: provided that their term of office has not exceeded two terms) of this association exceed the maximum age for holding office, they may only participate in the election after obtaining approval from the Chengdu Municipal Civil Affairs Bureau and the competent business unit in advance. Article 27 The term of office of the President, Vice President, Secretary General and other executive (branch, representative) agency heads of the Association shall be 5 years each term (Note: Full-time Secretary General or full-time executive agency heads of other branches and representative agencies recruited through public recruitment are not subject to this restriction, the same below). The term of office of the President, Supervisory Director, Vice President, Secretary General and other executive (branch, representative) agency heads shall not exceed two terms at most. Article 28 The President of the Association shall be the legal representative of the Association. The legal representative of this association shall not concurrently serve as the legal representative of other organizations. Article 29 The President of the Association shall exercise the following powers: (1) Convene and preside over the board of directors; (2) To inspect the implementation of the resolutions of the Members’ Congress, the Board of Directors and the Standing Committee; (3) Sign relevant important documents on behalf of the Association; (4) Other powers prescribed by the Articles of Association. Article 30 The Secretary-General of the Association and heads of other executive (branch, representative) agencies shall exercise the following powers: 1. Formulate the long-term development plan and annual work plan of the institution and organize their implementation; (2) To preside over the daily work of the institution and coordinate internal affairs and external exchanges; (3) Nominate the deputy positions of the organization to the General Assembly, the Board of Directors and the Executive Council, and submit them to the General Assembly, the Board of Directors or the Executive Council for appointment and removal; (iv) Decide on the employment of full-time staff of offices, representative offices and entity organizations; (V) Handle other daily affairs. Article 31 The Association shall establish a Supervisory Board with three members. The term of office of the supervisor is the same as that of the director. Upon expiration of the term, he or she may be re-elected for a maximum of two terms. Article 32 Supervisors are selected or replaced from among members of the unit, practitioners of the association or persons recommended by relevant units. The practitioner representatives in the board of supervisors are democratically elected by the practitioners of the unit. Association directors, association leaders and heads of branch (representative, executive) agencies may not concurrently serve as supervisors. Article 33 Rights and obligations of the Supervisory Committee Report work to the Members’ Congress; Supervise the election and removal of the Members' Congress and the Board of Directors; supervise the Board of Directors in implementing the resolutions of the Members' Congress; Check the association's financial and accounting information and report the situation to the Chengdu Civil Affairs Bureau; The supervisors shall attend the member representative conference, the board of directors and important administrative meetings of the association, and have the right to raise questions and make suggestions to the board of directors; Supervise the board of directors' compliance with laws and regulations. When the president, vice president, secretary general and others carry out business activities that damage the interests of the association, require them to correct it and report to the general meeting of members or Chengdu Civil Affairs Bureau when necessary. 1. Chair the convening of the Association’s internal conflict mediation meetings, coordinate the opinions of all parties to form a mediation plan (agreement), supervise the implementation of the mediation plan (agreement), and propose solutions when necessary and implement them after being reviewed and approved by the General Assembly. The Supervisors of the Supervisory Board shall abide by relevant laws and regulations and the Articles of Association of the Association, accept the leadership of the Members’ Congress, and earnestly perform their duties. Article 34 The Board of Supervisors shall have one Chief Supervisor, and the Board of Supervisors shall adopt the one-person-one-vote system. The resolutions of the Board of Supervisors shall be effective only if they are approved by more than half of all the supervisors. Article 35 If there are more than 3 party members among the employees of the Association, a grassroots party organization shall be established after approval by the higher-level party organization to perform the following duties: 1) To publicize and implement the Party’s lines, principles, and policies, and to execute the resolutions and decisions of higher level Party organizations and the organization itself. (2) Guide and supervise social organizations to abide by national laws and regulations, adhere to the correct political direction, and promote the healthy development of social organizations. (3) Support social organizations and their leaders to carry out their work in accordance with their charters. (IV) Strengthen the Party organization's own construction, do a good job in educating and managing Party members and developing Party members, and give full play to the vanguard and exemplary role of Party members. Publicize the Party's propositions, implement the Party's decisions, lead grassroots governance, unite and mobilize the masses, and promote reform and development. (V) Lead the construction of spiritual civilization and ideological and political work, safeguard the legitimate rights and interests of all parties, unite and consolidate the masses of workers, and establish harmonious labor relations. (6) Do a good job in united front work. (VII) Complete other tasks assigned by higher-level Party organizations. Article 36 The Association has established a system for requesting instructions and reporting on major activities. All matters involving the following must be reported to the Chengdu Civil Affairs Bureau and the competent business unit in advance (during or after): (1) Accepting donations or funding from within or outside the country; (2) When an emergency, accident or problem occurs; (3) Matters involving the vital interests of employees and social stability; (4) Being notified, investigated, or punished by relevant government departments; (5) Organizing and holding cross-regional academic exchanges, (seminars), forum activities, promotions, and exhibitions; (6) Organizing overseas inspections and exchanges; (VII) Change of term of office of the Board of Directors; (8) Other important matters that require instructions and reports. Chapter V Asset Management and Utilization Principles Article 37 The funds of the Association shall come from: (1) Membership fees; (2) donations; (3) Government funding; (iv) income from activities or services carried out within the approved business scope; (5) interest; (6) Other lawful income. Article 38 The Association shall collect membership fees in accordance with relevant national regulations. The membership fee standards are: general unit members: 1,600 yuan/year, director unit members: 20,000 yuan/year, vice-chairman unit members: 40,000 yuan/year, and chairman unit members: 100,000 yuan/year. Article 39 All income of the Association, except for reasonable expenses related to the Association, shall be used for public welfare or non-profit undertakings registered or stipulated in the Articles of Association and shall not be distributed among members. Article 40 The Association shall establish a strict financial management system to ensure that accounting information is legal, true, accurate and complete. Article 41 The Association shall be equipped with professionally qualified accountants. Accountants shall not concurrently serve as cashiers. Accountants must perform accounting and exercise accounting supervision. When an accountant is transferred or leaves the job, he or she must complete the handover procedures with the person who takes over. Article 42 The Association implements the "Accounting System for Non-profit Organizations" and its assets and financial management are subject to supervision by the Members' Congress and the Finance Department. Assets from state grants or social donations and funding must be subject to supervision by the auditing agency and relevant information must be announced to the public in an appropriate manner. Article 43 A financial audit must be conducted before the Association changes its term of office or replaces its legal representative. Article 44 No unit or individual may encroach upon, embezzle or misappropriate the assets of the Association. Article 45 The average monthly salary level of full-time staff employed by the Association shall not exceed twice the average wage level at the place of tax registration in the previous year. The insurance and welfare benefits of the staff shall be implemented in accordance with relevant national regulations. Chapter VI Procedure for Amending the Articles of Association Article 46 Any amendment to the Association's Articles of Association shall be effective only after being reviewed by the Board of Directors and then submitted to the Members' Representative Assembly for approval. Article 47 Any amendment to the Articles of Association of this Association shall be submitted to the competent authority for examination and approval within 15 days after being approved by the Members’ Representative Congress, and shall take effect after being submitted to the registration and management authority for approval within 15 days after being reviewed and approved by the competent authority. Chapter VII Termination Procedures and Property Disposal after Termination Article 48 If the Association has completed its purpose or dissolved itself or needs to be cancelled due to division, merger, etc., the Board of Directors or the Standing Board of Directors shall propose a motion for termination. Article 49: The proposal to terminate the Association must be voted on and approved by the Members’ Representative Assembly and reported to the competent authority for review and approval. Article 50 Before the termination of the Association, a liquidation organization shall be established under the guidance of the competent authority and relevant authorities to settle the debts and liabilities and deal with the aftermath. During the liquidation period, no activities other than liquidation shall be carried out. Article 51 This association shall be terminated after the registration cancellation procedures are completed by the registration management authority. Article 52 The remaining property of this association after its termination shall be used for public welfare or non-profit purposes, or transferred by the social group registration and management authority to a social organization with the same nature and purpose as this organization, and announced to the public.
